WIG’s Finance and Risk Committee’s role is to advise the Board on matters of financial management and accountability and risk management. The Committee provides oversight to ensure adequate control arrangements are in place to support management and provide assurance to the Board of Trustees in line with its Terms of Reference. The Committee currently comprises five Board members/Trustees and is chaired by Joanne Roney CBE, Chief Executive Manchester City Council.

The role of the Co-opted Member is to bring an external perspective to the work of the Charity and to contribute specific professional expertise to the committee to which they are appointed.

A Co-opted Member is a person appointed by the Board to a committee because, in the opinion of the Board, they have the knowledge, experience and skills required to contribute to the effective governance and success of the Charity, through that particular committee. The appointment of a Co-opted Member could resolve a knowledge, experience or skills gap in that committee’s membership or provide additional oversight.

In this case, the Board has recognised that we need more expertise in our decision-making and risk management that takes into account the particular challenges of operating as a relatively small charity with a big impact.

The role of an independent co-opted member of the Committee is to bring their expertise and experience to bear in decision-making and recommendations to the Board. An independent co-opted committee member is expected to use their experience to challenge rigorously and constructively pursue queries thoroughly, offering advice and support and, where appropriate, reaching reasoned conclusions with other committee members.

  • To work alongside the Committee Chair and members providing an independent view of the Committee’s business.
  • To provide independent counsel, support and constructive challenge to the Committee, as required.
  • To help ensure that key financial and non-financial risks relating to WIG’s activities and affairs are being identified, monitored and controlled effectively.
  • To maintain organisational and individual confidentiality at all times unless otherwise authorised.

Trustees would be expected to attend virtual meetings as well as ad-hoc requirements as needed.

Typically, this would comprise of FRC committee meetings (lasting circa 90 minutes).

In total we expect the time commitment to be circa 1 day per quarter including reading and preparation time.

We are particularly interested in hearing from candidates with experience of:

  • successfully leading a small successful charity as a CEO;
  • ensuring good financial and risk management; and
  • ensuring good governance for effective decision-making and growing the Charity’s impact.

 

In addition, candidates should have the general skills and attributes appropriate to serve on a key Board committee:

  • A commitment to the organisation
  • A willingness to devote the necessary time and effort
  • Good, independent judgement
  • An ability to work effectively as a member of a team
  • A willingness to speak their mind
  • An understanding and acceptance of the legal duties, responsibilities and liabilities of trusteeship
  • A commitment to Nolan’s seven principles of public life: selflessness, integrity, objectivity, accountability, openness, honesty and leadership
